Terms of Service

Eligibility

You must be at least 13 years old, or the minimum legal age required in your jurisdiction, to use MorphorAI.

If you are under the age of majority in your jurisdiction, you may use the Services only with the permission and supervision of a parent or legal guardian.

If you use MorphorAI on behalf of a company, organization, agency, client, or other legal entity, you represent that you have authority to bind that entity to these Terms.

Account Registration

To access certain features, you may need to create an account.

You agree to provide accurate, current, and complete information when creating or updating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately if you believe your account has been accessed without authorization.

We are not responsible for losses caused by unauthorized use of your account if such unauthorized use results from your failure to protect your credentials.

Description of Services

MorphorAI provides AI-powered design and creative workflow tools. These may include:

• AI image generation
• Image editing
• Canvas-based design workflows
• Image segmentation and selection
• Prompt-based visual creation
• Layout assistance
• Design asset generation
• Project saving and exporting
• Collaboration tools
• Other creative and productivity features

We may add, remove, modify, suspend, or discontinue any feature, model, plan, or service at any time.

User Content

“User Content” means any content you upload, submit, create, edit, generate, save, publish, export, or otherwise provide through MorphorAI, including but not limited to:

• Prompts
• Uploaded images
• Design files
• Canvas projects
• Brand assets
• Logos
• Product images
• Text
• Masks
• Layers
• Generated images
• Edited outputs
• Comments
• Project metadata

You are solely responsible for your User Content.

You represent and warrant that you have all necessary rights, licenses, permissions, and consents to upload, submit, edit, generate, publish, or use your User Content through MorphorAI.

You must not upload, generate, or share content that violates any law, infringes third-party rights, or violates these Terms.

Ownership of User Content

As between you and MorphorAI, you retain ownership of the content you upload to MorphorAI.

MorphorAI does not claim ownership of your private design files, uploaded assets, prompts, brand materials, or private projects.

By using the Services, you grant MorphorAI a limited, worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, transmit, and technically modify your User Content solely as necessary to:

• Provide the Services
• Generate and edit requested outputs
• Save and sync projects
• Enable collaboration features
• Process exports
• Provide customer support
• Maintain security
• Improve reliability and performance
• Enforce these Terms
• Comply with applicable law

This license does not give MorphorAI ownership of your private projects.

AI-Generated Outputs

“Output” means content generated, edited, transformed, or produced through MorphorAI’s AI-powered features.

As between you and MorphorAI, and to the extent permitted by applicable law, MorphorAI does not claim ownership of Outputs generated from your lawful use of the Services.

However, AI-generated content may not always be eligible for copyright or other intellectual property protection in every jurisdiction. You are responsible for determining whether and how your Output may be protected, used, registered, licensed, sold, or distributed.

You are solely responsible for reviewing, editing, verifying, and approving all Outputs before using them publicly or commercially.

Commercial Use

Unless otherwise stated in your subscription plan or applicable feature terms, you may use Outputs for personal or commercial purposes, provided that:

• Your use complies with these Terms
• Your input materials are lawful
• You have the necessary rights to any uploaded or referenced materials
• The Output does not infringe third-party rights
• Your use does not violate applicable law

MorphorAI does not guarantee that any Output is free from third-party claims, copyright issues, trademark conflicts, design rights, publicity rights, privacy rights, or other legal restrictions.

Before using Outputs commercially, especially in advertising, branding, merchandise, client work, product packaging, or public campaigns, you should conduct your own legal and brand clearance review.

AI Output Disclaimer

AI-generated Outputs may be inaccurate, incomplete, unexpected, visually distorted, biased, offensive, similar to third-party content, or unsuitable for your intended purpose.

MorphorAI does not guarantee that any Output will be accurate, original, non-infringing, legally compliant, commercially usable, or fit for a particular purpose.

You should not rely on MorphorAI Outputs as a substitute for professional judgment, legal review, design review, compliance review, or human approval.

AI Data Handling

MorphorAI may process your prompts, uploaded content, project files, and Outputs through AI systems and third-party AI model providers in order to provide the Services.

Unless you give explicit permission, MorphorAI does not use your private prompts, private uploads, private project files, or private Outputs to train foundation AI models.

We may use aggregated, anonymized, or de-identified data to analyze performance, improve product reliability, debug errors, enhance safety, and understand general usage trends, provided such data does not reasonably identify you or your private content.

Some features may rely on third-party AI models, APIs, plugins, infrastructure providers, or open-source components. Your content may be processed by these providers only as necessary to deliver the requested feature.

Prohibited Uses

You agree not to use MorphorAI to:

• Violate any applicable law or regulation
• Infringe copyright, trademark, design rights, trade secrets, privacy rights, publicity rights, or other third-party rights
• Upload or generate unlawful, harmful, abusive, defamatory, deceptive, hateful, harassing, violent, sexually exploitative, or otherwise objectionable content
• Exploit, harm, or attempt to exploit or harm minors
• Generate or distribute non-consensual intimate imagery
• Generate misleading impersonations, fraud, scams, phishing materials, or deceptive content
• Create malware, spyware, credential theft tools, or systems intended to compromise security
• Circumvent usage limits, security controls, rate limits, access restrictions, or payment systems
• Reverse engineer, scrape, copy, extract, or misuse the Services or underlying models
• Use automated tools to access the Services without authorization
• Resell, sublicense, or provide access to the Services without our written permission
• Use the Services to develop a competing AI model or platform in violation of these Terms
• Use Outputs for high-risk decisions without appropriate human review

We may remove content, restrict access, suspend accounts, or terminate accounts that violate these Terms.

High-Risk Use

MorphorAI is a creative and design tool. You may not use the Services or Outputs to make decisions that may significantly affect a person’s legal rights, financial status, employment, housing, education, credit, insurance, medical treatment, criminal justice status, biometric identification, or other high-impact areas without appropriate human review and legal compliance.

Public and Shared Content

MorphorAI may allow you to publish, share, export, or collaborate on projects.

If you make content public, share a link, collaborate with others, submit content to a gallery, or publish Outputs externally, you understand that other users or third parties may view, copy, download, or use that content.

You are responsible for ensuring that you have the right to share any content you make public.

Third-Party Services

MorphorAI may integrate with or rely on third-party services, including but not limited to:

• AI model providers
• Cloud hosting providers
• Payment processors
• Authentication providers
• Analytics tools
• Customer support tools
• Open-source components
• Plugins
• APIs
• External design or export tools

We do not control third-party services and are not responsible for their availability, security, content, outputs, terms, privacy practices, or licensing restrictions.

Your use of third-party services may be subject to their own terms and privacy policies.

Payments and Subscriptions

Some MorphorAI features may require payment or a subscription.

By purchasing a paid plan, you authorize us and our payment processors to charge the applicable fees, taxes, and recurring subscription amounts.

Subscription plans may renew automatically unless canceled before the renewal date.

You are responsible for keeping your billing information accurate and up to date.

We may change prices, features, usage limits, credits, or plan terms from time to time. If required by law, we will provide notice before material pricing changes take effect.

Credits and Usage Limits

MorphorAI may use credits, usage quotas, rate limits, storage limits, export limits, generation limits, or other restrictions.

Credits may expire, may not be transferable, and may not be redeemable for cash unless required by law or expressly stated by us.

We may adjust usage limits to maintain service quality, prevent abuse, manage infrastructure costs, or comply with third-party provider restrictions.

Refunds

Unless otherwise required by applicable law or expressly stated in a specific offer, payments are non-refundable.

If you cancel a subscription, you may continue to access paid features until the end of the current billing period, unless otherwise stated.

We may provide refunds, credits, or exceptions at our sole discretion, but doing so does not create an obligation to provide similar refunds in the future.

Intellectual Property of MorphorAI

MorphorAI and its licensors own all rights, title, and interest in and to the Services, including software, technology, interfaces, models, systems, workflows, designs, trademarks, logos, branding, documentation, and other materials.

Except for the limited right to use the Services under these Terms, no rights are transferred to you.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from MorphorAI’s technology or proprietary materials unless expressly authorized.

Feedback

If you provide feedback, suggestions, ideas, bug reports, or feature requests, you grant MorphorAI a worldwide, perpetual, irrevocable, royalty-free license to use, modify, incorporate, commercialize, and otherwise exploit such feedback without restriction or compensation to you.

Service Availability

We aim to provide reliable Services, but we do not guarantee that MorphorAI will be uninterrupted, secure, error-free, or available at all times.

The Services may be unavailable due to maintenance, updates, outages, third-party failures, model provider issues, security incidents, or other reasons.

You are responsible for backing up important design files, exported assets, and project materials.

Account Suspension and Termination

We may suspend, restrict, or terminate your access to MorphorAI if:

• You violate these Terms
• You fail to pay fees
• Your use creates legal, security, operational, or reputational risk
• We are required to do so by law
• We detect fraud, abuse, or unauthorized activity
• Your account is inactive for an extended period
• We discontinue the Services or relevant features

You may stop using the Services at any time. You may request account deletion by contacting us at support@morphorai.com.

After termination, your right to use the Services will cease. Certain sections of these Terms will continue to apply, including ownership, payment obligations, disclaimers, limitation of liability, dispute resolution, and any provisions that by their nature should survive.

Privacy

Your use of MorphorAI is also governed by our Privacy Policy, which explains how we collect, use, store, and share information.

By using the Services, you acknowledge that your information may be processed in accordance with our Privacy Policy.

No Professional Advice

MorphorAI does not provide legal, financial, medical, tax, investment, compliance, or other professional advice.

Outputs are provided for creative, design, productivity, and informational purposes only.

You should consult appropriate professionals before relying on Outputs for legal, commercial, regulatory, or high-impact decisions.

Disclaimer of Warranties

The Services and Outputs are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, MorphorAI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not warrant that:

• The Services will meet your requirements
• Outputs will be accurate, original, or legally usable
• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services will be free of harmful components
• Any content will remain available or recoverable

Limitation of Liability

To the maximum extent permitted by law, MorphorAI and its affiliates, officers, employees, contractors, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or claims arising from your use of the Services or Outputs.

To the maximum extent permitted by law, MorphorAI’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to MorphorAI in the twelve months before the claim arose, or USD $100, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless MorphorAI and its affiliates, officers, employees, contractors, licensors, service providers, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

• Your use of the Services
• Your User Content
• Your Outputs
• Your violation of these Terms
• Your violation of applicable law
• Your infringement or alleged infringement of third-party rights
• Your commercial use of Outputs
• Your misuse of the Services

Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

We are not liable for any modification, suspension, or discontinuation of the Services.

Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or by updating the “Last Updated” date.

Your continued use of MorphorAI after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services.

Governing Law
